Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Manifest Software LLC ("Company," "we," "us," or "our") concerning your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

Restrictions

You agree NOT to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers

• Reverse engineer or attempt to extract source code

Intellectual Property Rights

Our Property

The Services and all content, features, and functionality are owned by Manifest Software LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Trademarks

Our name, logos, and all related names, logos, product and service names, designs, and slogans are trademarks of Manifest Software LLC. You may not use them without our prior written permission.

User Content

By submitting content to our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content in connection with operating and providing the Services.

Payment Terms

Pricing

• All prices are in U.S. Dollars (USD) unless otherwise stated
• Prices are subject to change with notice
• Price changes do not affect existing subscriptions during their current term

Payment Methods

We accept payment via:

• Major credit cards (Visa, MasterCard, American Express)
• Debit cards
• Other payment methods as displayed at checkout

Billing

• Subscription fees are billed in advance
• One-time purchases are charged at time of purchase
• You authorize us to charge your payment method automatically
• Failed payments may result in service suspension

Taxes

You are responsible for all applicable taxes, duties, and assessments. Prices do not include sales tax, VAT, or other taxes unless explicitly stated.

Subscription Terms

Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current rate.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period.

No Refunds for Partial Periods

We do not provide refunds or credits for partial subscription periods, except as required by law or as stated in our Refund Policy.

Software Licenses

License Types

We offer various software license types:

• Single User License: For use by one individual
• Multi-User License: For specified number of users
• Enterprise License: For organization-wide use

License Restrictions

Unless expressly permitted:

• Licenses are non-transferable
• You may not share login credentials
• You may not exceed authorized user limits
• Commercial use may require separate licensing

Service Availability

Uptime

We strive for high availability but do not guarantee uninterrupted access. The Services may be unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Third-party service disruptions
• Force majeure events

Modifications

We reserve the right to:

• Modify or discontinue any part of the Services
• Add or remove features
• Change system requirements
• Update pricing (with notice for existing subscriptions)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE ARE NOT LIABLE FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY
• THESE LIMITATIONS APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of information
• Uninterrupted or error-free operation

Indemnification

You agree to indemnify, defend, and hold harmless Manifest Software LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of applicable laws

Dispute Resolution

Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@manifestsoftware.com. We will attempt to resolve the dispute within 60 days.

Binding Arbitration

If informal resolution fails, disputes will be resolved by binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted in Wyoming unless both parties agree otherwise.

Class Action Waiver

You agree that disputes will be resolved on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or other equitable relief.

Governing Law

These Terms are governed by the laws of the State of Wyoming and the United States, without regard to conflict of law principles.

Miscellaneous

Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Services and supersede all prior agreements.

Severability

If any provision is found unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms. We may assign our rights and obligations without restriction.

Force Majeure

We are not liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fires, floods, accidents, pandemics, strikes, or shortages.

Changes to Terms

We may modify these Terms at any time. Material changes will be notified via:

• Email to your registered address
• Notice on our website
• In-app notification

Continued use of the Services after changes constitutes acceptance of the modified Terms.
